These Terms of Use ("Terms") are an end user license agreement between you ("you" or "End-User") and Random Llama Software, LLC ("Company", "we", "us", or "our") governing your download, installation, and use of the ConsignMate iOS application, available on the Apple App Store (App Store ID 6738101489) (the "App").
Random Llama Software also publishes a general Terms of Service covering our website and other products. These ConsignMate-specific Terms are the controlling agreement for your use of the App and its subscriptions; where they conflict with the general Terms of Service on an App-specific matter, these Terms control. By downloading, installing, or using ConsignMate, you agree to be bound by these Terms. If you do not agree, do not download or use the App.
You and Random Llama Software acknowledge that this agreement is concluded between you and Random Llama Software only, and not with Apple Inc. ("Apple"). Random Llama Software, not Apple, is solely responsible for the App and its content. These Terms do not impose any usage rules on you that conflict with Apple's Media Services Terms and Conditions in effect at the time you accept these Terms.
You must be able to form a legally binding contract to use ConsignMate. The App is not directed to children under 13, and we do not knowingly allow children under 13 to create App Store accounts used with the App. If you are between 13 and the age of majority in your jurisdiction, you must have your parent or guardian's permission to use the App and to make any in-app purchases.
ConsignMate is an inventory, pricing, and analytics tool for resellers and consignment sellers to track their own goods. It is not a marketplace: Random Llama Software does not host listings or facilitate transactions between users, and is not a party to, and has no involvement in, any sale, purchase, or listing you make on eBay, Poshmark, or any other third-party platform. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use ConsignMate on any Apple-branded device that you own or control, as permitted by the Usage Rules in Apple's Media Services Terms and Conditions. If you access the App through Family Sharing, that license also extends to other accounts in your Family Sharing group as permitted by Apple.
You may not, and may not permit others to:
Your inventory items, photos, notes, and other data you create in ConsignMate ("Your Content") are stored locally on your device and, if iCloud sync is enabled, in your own private iCloud account via Apple CloudKit. We do not host or store Your Content on our own servers. You retain all ownership of Your Content, and you are solely responsible for it, including its accuracy, legality, and backup. Because Your Content lives on your device and your personal iCloud account, we cannot recover it for you if it is lost, and deleting the App or your iCloud data may permanently delete it. This section covers storage of Your Content; see Section 8 for how photos are handled when you use AI product identification, and our Privacy Policy for full detail on data handling.
ConsignMate is free to download and use, with core inventory features included at no cost. ConsignMate Premium is an optional, auto-renewable subscription offered in two tiers:
Prices are set in the App Store and may vary by region or change over time; the current price is always shown in the App and on the App Store product page before you subscribe.
Free Trial: Each paid tier includes a 3-day free trial for eligible new subscribers. If you do not cancel before the trial ends, your subscription automatically converts to a paid, auto-renewing subscription and payment will be charged to your Apple ID. Trial eligibility is determined by Apple's rules for introductory offers.
Payment and Renewal: Payment is charged to your Apple ID account at confirmation of purchase (or at the end of any free trial). Subscriptions automatically renew for the same term unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period, at the then-current price.
Managing and Canceling: All subscriptions are managed through your Apple ID account settings, not through ConsignMate directly. You can view, modify, or cancel your subscription at any time in your device's App Store account settings. Cancellation takes effect at the end of the current billing period, and no refund is provided for the unused portion of a subscription period, except as described in Section 13 (Apple-Required Terms) below.
Family Sharing: ConsignMate Premium may be shared with members of your Family Sharing group when enabled, subject to Apple's Family Sharing terms.
PRODUCT IDENTIFICATIONS, BRAND OR MODEL MATCHES, PRICE ESTIMATES, AND PROFIT OR MARGIN CALCULATIONS PRODUCED BY CONSIGNMATE ARE PROVIDED FOR GENERAL REFERENCE ONLY. THEY ARE NOT APPRAISALS, VALUATIONS, OR GUARANTEES OF ACTUAL RESALE VALUE, AND THEY MAY BE INACCURATE, OUTDATED, OR INCOMPLETE.
To identify products, ConsignMate may transmit photos you capture in the App to Google (via Google Lens and Gemini AI) for processing, with an on-device database used as an offline fallback. To estimate pricing, ConsignMate retrieves listing and sale data from eBay. These lookups depend on third-party services we do not control and cannot guarantee the availability, accuracy, or continued operation of. See our Privacy Policy for how photos and search data are handled when these features are used. You are solely responsible for independently verifying any identification, pricing, or valuation information before relying on it for a purchase, sale, listing, insurance, tax, or other business decision.
ConsignMate's analytics, profit and consignment-fee calculations, and export/reporting tools are provided for informational and organizational purposes only. They do not constitute tax, accounting, financial, legal, or other professional advice, and should not be relied on as a substitute for consulting a qualified professional. You are responsible for verifying any figures used for tax filings or other official purposes.
ConsignMate integrates with or relies on third-party services, including Apple iCloud/CloudKit (device sync and backup), Google Lens and Gemini AI (product identification), and eBay (reference pricing data). Each of these services is governed by its own terms and privacy practices, which are outside our control. ConsignMate is not affiliated with, sponsored by, or endorsed by Apple Inc., Google LLC, eBay Inc., Poshmark, or any other third-party platform referenced in or connected to the App. All product names, logos, and trademarks referenced are the property of their respective owners.
You agree to use ConsignMate only for lawful purposes. You will not use the App to catalog, price, or facilitate the sale of stolen, counterfeit, or otherwise illegal goods, or in any way that violates applicable law or the rights of others.
The App, including its software, design, and all content we provide within it (excluding Your Content), is the property of Random Llama Software, LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.
Because ConsignMate is distributed through the Apple App Store, Apple requires the following terms in every developer's end user license agreement:
We are solely responsible for providing any maintenance and support for the App. Apple has no obligation whatsoever to furnish any maintenance or support for the App.
We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our sole responsibility.
We, not Apple, are responsible for addressing any of your claims or those of any third party relating to the App or your possession and/or use of it, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
In the event of any third-party claim that the App or your possession and use of it infringes that third party's intellectual property rights, we, not Apple, are solely responsible for the investigation, defense, settlement, and discharge of any such claim.
You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
You must comply with any applicable third-party terms of agreement when using the App, such as your wireless data service agreement.
You and we acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary of them.
EXCEPT AS EXPRESSLY SET OUT IN SECTION 13 ABOVE, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI IDENTIFICATIONS OR PRICING DATA WILL BE ACCURATE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RANDOM LLAMA SOFTWARE, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE APP, INCLUDING DECISIONS MADE USING AI IDENTIFICATIONS, PRICING ESTIMATES, OR ANALYTICS. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE AMOUNT YOU PAID FOR CONSIGNMATE PREMIUM IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR TEN U.S. DOLLARS ($10) IF YOU HAVE NOT MADE ANY PURCHASE. THIS SECTION DOES NOT LIMIT ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
You agree to indemnify and hold Random Llama Software, LLC harmless from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the App, or your violation of any law or third party's rights.
We may suspend or terminate your license to use the App if you violate these Terms. You may stop using the App at any time by deleting it from your device and canceling any active subscription through your Apple ID account settings. Sections of these Terms that by their nature should survive termination (including Sections 8, 9, 12, 13, 14, 15, 16, and 18) will survive.
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms will be brought exclusively in the courts located in Fort Bend County, Texas, except where applicable consumer protection law requires otherwise.
We may modify these Terms from time to time. If a change is material, we will provide at least 30 days' notice before the new terms take effect, such as by posting a notice on this page or within the App. Your continued use of ConsignMate after a revision becomes effective means you agree to the revised Terms.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Random Llama Software regarding ConsignMate and supersede any prior agreements specific to the App.
